OMAA By-Law and Articles of Amendment

The OMAA Board of Directors recently approved the draft By-Law and Articles of Amendment. These documents were reviewed by the By-Law Review Committee with the aid of outside expert legal counsel in light of ensuring they were up to date and compliant with the Ontario Not-for-Profit Corporations Act (ONCA). The By-law Review Committee provided rigorous and thoughtful analysis over the last 12 months utilizing their expertise as municipal solicitors, board members, and OMAA members to help guide their recommendations. The Board supported the proposed version of the by-law and xxx as they are modernized, ONCA compliant, and more efficient from an operational point of view.

Associations should regularly review their By-Laws and Letters Patent to ensure they remain aligned with the organization's current mission, legal requirements, and evolving best practices. Regular reviews help identify outdated provisions, address changes in governance needs, and ensure compliance with regulations. By putting these updates to a membership vote, the association ensures transparency, inclusivity, and active member participation in shaping the organization's future.

The membership vote will occur on the morning of October 17 as part of the upcoming Fall Workshop.

Skipperism

When I was a little pup I was afraid of many things. But there comes a time when we stand at the edge of the unknown. What lies ahead is something uncertain, something vast. And it is in this moment that life asks the most of us. It asks for a leap of faith.

Kierkegaard once said, "For without risk there is no faith, and the greater the risk, the greater the faith." He understood that the moment you step off that ledge, when you commit to the uncertain, that is when you come alive. It isn’t that faith makes the leap easier—it’s that faith makes the leap possible. The edge is terrifying, but staying put, staying safe, that’s not living. It’s merely existing.

Plato wrote that “Courage is knowing what not to fear.” The leap of faith demands courage, not because there is no fear, but because we choose not to let it master us. The unknown will always be there. The darkness beyond the edge is part of life. But fear of the unknown—fear of what could happen—keeps too many from making the leap. Plato knew that only by confronting that fear can we find out what lies on the other side.

Seneca understood life’s fleeting nature better than most. “It is not because things are difficult that we do not dare,” he said, “but because we do not dare that they are difficult.” It’s a simple truth, really. Life becomes difficult when we hold back, when we hesitate at the edge. The daring leap—that act of faith—opens doors and moves us forward when we’d otherwise stay trapped in place.

So, there it is. Life doesn’t wait for us to be ready. It beckons us forward into the unknown, asking us to leap, to trust that something will catch us or that we’ll learn to fly. And maybe that’s the trick of it all. The leap isn’t about knowing where you’ll land; it’s about daring to take off. Whether it’s a new job, a new love, or a new way of living, that moment of faith is what shapes the rest of our days.
